FLC provides consulting, advisory, coaching, leadership development, institutional development, business strategy, brand direction, clarity sessions, executive advisory services, organizational structuring, educational services, training programs, workshops, events, and related professional services. The Company reserves the right to modify, suspend, replace, discontinue, or introduce services at its discretion.
No Professional Guarantee
All services provided by FLC are advisory and educational in nature. Any recommendation, framework, report, strategy, insight, opinion, presentation, consultation outcome, or advisory guidance does not constitute a guarantee of business success; financial growth; operational improvements; market performance; organizational outcomes; or personal advancement. Implementation and execution remain solely the responsibility of the client.
Client Responsibility
Clients remain solely responsible for decisions made before, during, or after any engagement. FLC shall not be responsible for losses arising from:
- (A) Client implementation decisions;
- (B) Failure to implement recommendations;
- (C) Inaccurate information supplied by the client;
- (D) External market or regulatory conditions.
Client Materials and Ownership
Clients retain ownership of all pre-existing materials, trademarks, trade names, content, intellectual property, proprietary information, data, systems, and business assets provided to FLC.
However, FLC retains exclusive ownership of: methodologies; frameworks; consulting models; assessment systems; diagnostic tools; templates; strategic models; educational materials; presentations; proprietary processes; intellectual property developed independently by FLC.
Unless otherwise agreed in writing, no engagement shall transfer ownership of any FLC methodology, framework, model, process, template, system, or proprietary intellectual property to a client. Clients receive only a limited, non-transferable right to use deliverables provided for their internal business purposes.
Intellectual Property
All website content and materials are protected by copyright, trademark, intellectual property, and related laws. No person may: reproduce; republish; distribute; sell; modify; create derivative works; exploit commercially; any content without prior written authorization.
User Conduct
Users shall not:
- A. Violate any law;

- B. Misuse of services;
- C. Unlawful conduct;
- D. Infringement of third-party rights.
Termination
FLC may suspend or terminate access to services where a user:
- A. Breaches these Terms;
- B. Engages in unlawful conduct;
- C. Abuses personnel;
- D. Threatens the integrity of operations.
Headings
Any headings and titles herein are for convenience only.
Waiver and Severability
If any of the provisions of the Terms are determined by any competent authority to be invalid, unlawful, or unenforceable, such provision will to that extent be severed from the remaining Terms, which will continue to be valid and enforceable to the fullest extent permitted by law. Our failure to exercise or enforce any right or provision of the Terms will not constitute a waiver of such right or provision. A waiver by us of any default will not constitute a waiver of any subsequent default. No waiver by us is effective unless it is communicated to you in writing. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.
Governing Law
Any disputes arising out of or relating to the Terms, the Privacy Policy, and other legal notices and policies, the use of our website, or our products or services offered on our website will be resolved, interpreted, and governed in accordance with the laws currently in force of the Federal Republic of Nigeria.
Legal Disputes
We shall make an effort to settle all disputes amicably. Any dispute arising out of these Terms of Use that cannot be settled by mutual agreement or negotiation within 1 (one) month shall be referred to arbitration by a single arbitrator at the Lagos Multi-Door Courthouse (“LMDC”) and shall be governed by the Arbitration and Conciliation Act, Cap A10, Laws of the Federal Republic of Nigeria. The arbitrator shall be appointed by both of us (we and you). If we are unable to agree on the choice of an arbitrator, the LMDC shall make that choice. The arbitrator’s findings and subsequent award shall be binding on both of us. Each of us shall bear our respective costs in connection with the arbitration. The venue for the arbitration shall be Lagos, Nigeria.
